MEMORANDUM OF UNDERSTANDING

• Pursuant to the provisions of the laws of the Socialist Republic of Vietnam;

• Based on current needs and the desire for cooperation among the parties.

For that reason, The Parties wish to cooperate and connect to jointly develop their common and individual goals. Now, the Parties sign a memorandum of understanding (MOU) with the following specific content:

ARTICLE 2: PRINCIPLES OF COOPERATION

1. The Parties undertake to provide each other with support and priority during the cooperation process in order to achieve the cooperation objectives and pursue long-term interests with high quality and efficiency. 
2. Cooperation shall be based on the principles of voluntariness and equality, ensuring compliance with the laws and internal regulations of each Party.

ARTICLE 3: RESPONSIBILITIES OF THE PARTIES 

1. Work closely with each other in providing the required information so that the Parties can agree on specific implementation plans consistent with the cooperation and development objectives of the Parties.
2. The parties shall cooperate closely to implement the cooperation provisions of this agreement.
3. The Parties shall facilitate mutual participation in activities organized by the Parties. 
4. The parties shall assign personnel to work together to implement the cooperation activities specified in Article 1.

ARTICLE 4: IMPLEMENTING ORGANIZATION

1. Based on the contents of the Memorandum of Understanding, the Parties agree on the focal points of each Party to exchange information in a timely, prompt, and accurate manner in accordance with the terms of the Cooperation Agreement.
2. The focal points of both Parties will directly exchange and work with each other on the tasks to be implemented.

ARTICLE 5: COMMITMENT TO IMPLEMENTATION

1. During implementation, if any issues arise or changes to the Memorandum of Understanding are required, the two Parties shall discuss and agree on appropriate amendments. Any amendments or additions to the Memorandum of Understanding shall be made in writing and signed by the legal representatives of both Parties.
2. The Parties undertake not to engage in any conduct that adversely affects each other's image, reputation, and interests during the implementation of the contents of this Memorandum of Understanding.

ARTICLE 6: IMPLEMENTATION PROVISIONS

1. This agreement shall remain in effect from the date of signing until one party submits a written notice to terminate the cooperation. 
2. This agreement may be terminated early at any time at the request of either Party, provided that the Party requesting termination must give the other Party at least 30 (thirty) days' prior written notice.
3. Any disputes arising from this Memorandum of Understanding shall be resolved by the Parties through negotiation in a spirit of good faith and cooperation.
