In the event that Party B changes its representative for receiving the Goods, Party B must notify Party A in writing prior to Party A delivering the Goods.<\/span><\/li>\n<li style=\"font-weight: 400;\" aria-level=\"2\"><span style=\"font-weight: 400;\">Party A shall only deliver the Goods to the representative designated by Party B, after Party A has received the full value of the Goods paid by Party B in accordance with the agreement in Clause 4.<\/span><\/li>\n<li style=\"font-weight: 400;\" aria-level=\"2\"><span style=\"font-weight: 400;\">Upon receiving the Goods, Party B shall be responsible for verifying the quantity, weight, and specifications of the Goods at the time of delivery. If any shortage of Goods is discovered, Party B must immediately notify Party A.<\/span><\/li>\n<li style=\"font-weight: 400;\" aria-level=\"2\"><span style=\"font-weight: 400;\">Both Parties shall prepare a Goods Delivery Record upon delivery, with the signatures of representatives of both Parties.<\/span><\/li>\n<li style=\"font-weight: 400;\" aria-level=\"2\"><span style=\"font-weight: 400;\">Both Parties acknowledge and understand that the time of transfer of risk for the Goods is when Party B signs the Goods Delivery Note. Party B must pay the amounts due to Party A within 5 days from the date Party A makes the request.<\/span><\/li>\n<li style=\"font-weight: 400;\" aria-level=\"2\"><span style=\"font-weight: 400;\">If Party A delays delivery of the Goods upon the deadline specified in this Contract or any other deadline agreed upon by both Parties, Party A shall be subject to a penalty for breach of contract at a rate of 0.05% per day of delay on the total value of the delayed Goods, but not exceeding 15 days beyond this deadline.<\/span><\/li>\n<li style=\"font-weight: 400;\" aria-level=\"2\"><span style=\"font-weight: 400;\">Late payment: In the event that Party B is late in paying the Value of Goods to Party A (if any), or is late in paying the amounts specified in Section 7.1 hereof, Party B shall also pay late payment interest at a rate of 0.051% per day of delay on the amount in arrears until all debts to Party A are paid in full.<\/span><\/li>\n<\/ol>\n<p><b>CONDITION<\/b> <b>8.<\/b> <b>EFFECT<\/b> <b>FORCE<\/b> <b>H\u1ee2P<\/b> <b>COPPER<\/b><\/p>\n<p><span style=\"font-weight: 400;\">1. This contract shall take effect from the date of signing.<\/span><\/p>\n<p><span style=\"font-weight: 400;\">2. The contract shall terminate in the following cases:<\/span><\/p>\n<ul>\n<li style=\"font-weight: 400;\" aria-level=\"1\"><span style=\"font-weight: 400;\">The Parties agree to terminate the Contract and settle the rights and obligations that have arisen up to the time of termination of the Contract by means of a Contract Termination Agreement;<\/span><\/li>\n<li style=\"font-weight: 400;\" aria-level=\"1\"><span style=\"font-weight: 400;\">A Force Majeure event occurs that prevents the Contract from being performed. In this case, each Party shall have the right to request termination of the Contract, and the Parties shall agree on the settlement of rights and obligations arising up to the time of termination of the Contract by means of a Contract Termination Agreement.;<\/span><\/li>\n<li style=\"font-weight: 400;\" aria-level=\"1\"><span style=\"font-weight: 400;\">The contract expires and the Parties do not renew the contract;<\/span><\/li>\n<li style=\"font-weight: 400;\" aria-level=\"1\"><span style=\"font-weight: 400;\">If either Party ceases to exist, in which case the Contract shall terminate in accordance with the relevant provisions of applicable law;<\/span><\/li>\n<li style=\"font-weight: 400;\" aria-level=\"1\"><span style=\"font-weight: 400;\">One Party unilaterally terminates the Contract due to a breach of the agreement by the other Party. The Party unilaterally terminating the Contract must notify the other Party at least 05 working days prior to the desired termination date, and the Parties shall agree on the settlement of rights and obligations arising up to the date of termination of the Contract.;<\/span><\/li>\n<\/ul>\n<p><span style=\"font-weight: 400;\">3. In the event of early termination of the Contract for any reason, both Parties shall be obligated to discuss and resolve the matter to ensure the interests of both Parties are protected.<\/span><\/p>\n<p><b>CONDITION<\/b> <b>9<\/b><b>.<\/b> <b>UNFAVORABLE<\/b> <b>KH\u1ea2<\/b> <b>RESISTANCE<\/b><\/p>\n<ol>\n<li style=\"font-weight: 400;\" aria-level=\"2\"><span style=\"font-weight: 400;\">Force majeure events are events that occur objectively, are unforeseeable, and cannot be overcome despite the application of all necessary and feasible measures, including but not limited to the following events: war, riots, strikes, fires, storms, floods, earthquakes, tsunamis, epidemics, quarantine (with a written document from the competent authority regarding quarantine due to an epidemic), changes in policy and law, and other unforeseeable disasters.<\/span><\/li>\n<li style=\"font-weight: 400;\" aria-level=\"2\"><span style=\"font-weight: 400;\">When a force majeure event occurs, the party affected by the force majeure event must promptly notify the other party in writing\/by email within a reasonable time about the event and must continue to perform its obligations according to the actual circumstances and necessary measures within its capabilities.<\/span><\/li>\n<li style=\"font-weight: 400;\" aria-level=\"2\"><span style=\"font-weight: 400;\">A party that fails to perform its obligations due to force majeure shall not be liable to the other party.<\/span><\/li>\n<li style=\"font-weight: 400;\" aria-level=\"2\"><span style=\"font-weight: 400;\">In addition, the parties may agree to extend the term of the Contract if the performance of the Contract is delayed due to force majeure, or if the force majeure event is prolonged or causes serious consequences that make the performance of the Contract disadvantageous to the Parties, then the Parties may cancel the Order or agree to terminate the performance of the Contract.<\/span><\/li>\n<\/ol>\n<p><b>CONDITION<\/b> <b>10<\/b><b>.<\/b> <b>LAW<\/b> <b>PRESSURE<\/b> <b>D\u1ee4NG<\/b> <b>AND<\/b> <b>SOLUTION<\/b> <b>DECISION<\/b> <b>PAINTING<\/b> <b>ACCEPT<\/b><\/p>\n<ol>\n<li style=\"font-weight: 400;\" aria-level=\"2\"><span style=\"font-weight: 400;\">This contract shall be interpreted and governed by the laws of the Socialist Republic of Vietnam.<\/span><\/li>\n<li style=\"font-weight: 400;\" aria-level=\"2\"><span style=\"font-weight: 400;\">Any disputes arising in connection with this Contract shall first be resolved by negotiation between the Parties.
